Further to its announcement on January 30, 2026, MHP Lux S.A. (the &ldquo;Company&rdquo; and, together with MHP S.E., the ultimate holding company and its consolidated subsidiaries and subsidiary undertakings, the &ldquo;Group&rdquo;) today announces (i) that the aggregate principal amount of the Company&rsquo;s 6.95% Guaranteed Notes due April 3, 2026 (the &ldquo;Notes&rdquo;) validly tendered by the holders (&ldquo;Noteholders&rdquo;) pursuant to its previously announced cash tender offer (the &ldquo;Tender Offer&rdquo;) following the Early Tender Deadline was equal to U.S.$1,200,000 in principal amount of Notes, (ii) the Company has accepted for purchase all validly tendered Notes as set forth in the table below and (iii) the aggregate principal amount of Notes outstanding following completion of the Tender Offer is set forth in the table below.

The Tender Offer was made on the terms and conditions as set forth in a tender offer memorandum dated January 15, 2026 (the &ldquo;Tender Offer Memorandum&rdquo;) in accordance with the procedures described therein. Capitalized terms used but not otherwise defined in this announcement have the same meanings given to them in the Tender Offer Memorandum.
