Board of directors approved the adoption of a dividend policy which maintains a balance between the need to invest in further development and the right of shareholders to share the net profit of the company. The dividend policy confirms the company's intention to pay annual dividends to the shareholders on a regular basis. The size of the issued dividends is decided on a case-by-case basis by the board of directors and approved by the general meeting (but with the goal of generally paying of up to 50% of the consolidated net profit for the respective year).

The Board of Directors of MHP SE on April 16, 2020 announced a distribution of the interim dividend to the Company&rsquo;s shareholders. The interim dividend of US$0.2803 per share equivalent to approximately US$30 million will be paid on April 28, 2020 (the "dividend payment date") to the Company&rsquo;s shareholders whose name is entered in its register of members as of April 24, 2020 (the "dividend record date"). The Board of Directors approved that no dividend will be paid on the Company&rsquo;s shares held in treasury. There would be no Cyprus withholding tax on the interim dividend payable to non-Cyprus tax resident Shareholders of MHP SE. Shareholders, whose personal income is subject to withholding tax in their country of residency, have to seek additional information from their personal legal, tax and financial advisors.
The Board of Directors of MHP SE on March 21, 2019 announced a distribution of the interim dividend to the Company&rsquo;s shareholders. The interim dividend of US$0.7474 per share equivalent to approximately US$80 million will be paid on April 4, 2019 (the "dividend payment date") to the Company&rsquo;s shareholders whose name is entered in its register of members as of March 29, 2019 (the "dividend record date"). The Board of Directors approved that no dividend will be paid on the Company&rsquo;s shares held in treasury. There would be no Cyprus withholding tax on the interim dividend payable to non-Cyprus tax resident Shareholders of MHP SE. Shareholders, whose personal income is subject to withholding tax in their country of residency, have to seek additional information from their personal legal, tax and financial advisors.
The Board of Directors of MHP SE on April 12, 2018 announced a distribution of the interim dividend to the Company&rsquo;s shareholders. The interim dividend of US$0.7492 per share equivalent to approximately US$80 million will be paid on April 26, 2018 (the "dividend payment date") to the Company&rsquo;s shareholders whose name is entered in its register of members as of April 20, 2018 (the "dividend record date"). The Board of Directors approved that no dividend will be paid on the Company&rsquo;s shares held in treasury.
The Board of Directors of MHP S.A. on March 15, 2017 announced a distribution of the interim dividend to the Company&rsquo;s shareholders. The interim dividend of US$0.7492 per share equivalent to approximately US$80 million will be paid on March 29, 2017 (the "dividend payment date") to the Company&rsquo;s shareholders on the register as of March 24, 2017 (the "dividend record date"). The Board of Directors approved that no dividend will be paid on the Company&rsquo;s shares held in treasury.

Having transferred its registered office from Luxembourg to Cyprus on 27 December 2017, there is no Cyprus withholding tax on the interim dividend payable to non-Cyprus tax resident Shareholders of MHP SE. There would be no Cyprus withholding tax on the interim dividend payable to non-Cyprus tax resident Shareholders of MHP SE.
Applicable for the period prior to Transfer from Luxembourg to Cyprus: the dividend payment was subject to the deduction of Luxembourg withholding tax at the rate of 15%.
The shareholders are encouraged to seek additional information from their personal legal, tax and financial advisors as to their eligibility to claim back the excessive part of the withholding tax levied in Luxembourg.
Shareholders who are eligible to either a reduced withholding tax rate or to a tax exemption may reclaim from the Luxembourg tax authorities the refunding of the partial or total amount of withholding tax.
In case that shareholder is eligible to reclaim excessive part of the withholding tax levied in Luxembourg, the shareholder is required to submit to the Luxembourg tax administration the following documents:
